Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website at threshhold.com and the tools, content, and communications we make available through it (the “Site”), operated by Threshold Inc. (“Threshold,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms cover the Site and our free tools. They do not govern paid engagements. Paid Services are governed by our Master Service Agreement and any related order form or written agreement, which control in the event of any conflict with these Terms as to those Services.
1) Who we are
The Site is operated by Threshold Inc.
- Mailing address: 1887 Whitney Mesa Dr #2173, Henderson, NV 89014
- Email: accounts@threshhold.com
- Phone: (702) 710-1925
2) The Site and our tools
The Site provides information about Threshold and interactive tools, including the Operational Friction Score, intended to help you understand where manual work may be slowing your team down and where a first agentic workflow might help.
We may add, change, or remove features of the Site or its tools at any time. We may also limit or suspend access to the Site, in whole or in part, without notice.
3) Tool results are directional, not an audit
Results produced by our tools, including any score, estimated hours, estimated cost, opportunity figure, or recommended first workflow, are directional estimates generated from the inputs you provide and from general assumptions. They are intended for planning and illustration only.
Tool results:
- Are not an audit, appraisal, or professional assessment of your organization;
- Are not a guarantee of any particular result, savings, or outcome;
- Should not be relied upon as the sole basis for any business, financial, or operational decision.
Figures shown by the Operational Friction Score are modeled from your inputs together with general, published research and blended assumptions. Your actual circumstances will differ.
4) No professional advice
The Site and its tools do not provide legal, tax, accounting, investment, or other professional advice, and nothing on the Site creates a professional-client relationship. You are responsible for your own decisions and should consult qualified professionals where appropriate.
5) Our offering and outcomes
Threshold builds specified, human-reviewed agentic workflows, which we refer to as loops, around an agreed workflow. When we deliver paid Services, the deliverable is the specified loop and its implementation, not a guaranteed business outcome.
A loop may support a business result, such as faster follow-up or cleaner records, but downstream results depend on adoption, data quality, internal processes, and other factors outside our control. Any description of pricing or offerings on the Site is informational; the binding commercial terms for a paid engagement are set out in the Master Service Agreement and any applicable order form.
6) Acceptable use
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Site, its systems, or related infrastructure;
- Interfere with or disrupt the integrity or performance of the Site;
- Scrape, harvest, or collect information from the Site except as permitted by law;
- Submit information you do not have the right to share, or that is false or misleading;
- Reverse engineer or attempt to extract the underlying logic of our tools.
7) Intellectual property
The Site and its contents, including text, design, graphics, logos, and the tools made available through it, are owned by Threshold or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for your own informational and business-evaluation purposes.
You may not copy, modify, distribute, sell, or create derivative works from the Site or its tools, or use our name, logo, or trademarks, without our prior written consent. Any feedback you choose to provide may be used by us without restriction or obligation to you.
8) Third-party links and services
The Site may link to or rely on third-party services we do not control, such as our publication on Substack and any scheduling tool used to book conversations. We are not responsible for the content, availability, or practices of third-party services, and your use of them is governed by their own terms.
9) Privacy
Our handling of information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge the practices described there.
10) Disclaimers
The Site and its tools are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or that any result or information obtained through it will be accurate or reliable.
11) Limitation of liability
To the maximum extent permitted by law, Threshold and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any lost profits, lost revenue, or business interruption, arising out of or relating to your use of the Site or its tools.
To the maximum extent permitted by law, our total liability arising out of or relating to the Site and these Terms will not exceed one hundred U.S. dollars ($100). Liability arising from a paid engagement is governed separately by the Master Service Agreement.
12) Indemnification
You agree to indemnify and hold harmless Threshold and its officers, directors, employees, and contractors from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site or your violation of these Terms or applicable law.
13) Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Site after an update indicates acceptance of the revised Terms.
14) Governing law and disputes
These Terms are governed by the laws of the State of Nevada, excluding its conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute arising out of or relating to the Site or these Terms through informal discussion. Any dispute not resolved informally will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada, unless the parties agree to an alternative dispute-resolution process in writing.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. These Terms, together with the Privacy Policy and, for paid Services, the Master Service Agreement, constitute the entire agreement between you and Threshold regarding the Site.
